Call To Order:   Mark Bollman called the meeting to order at 9:04 AM.
 
Opening Remarks and Announcements (Mark Bollman) 
Board members and guests were emailed today’s Agenda and Treasurer’s Report.   There are 7 board members present but the president doesn’t vote so we’ll be looking for 6 votes today.
 
 Executive Committee Report (Mark Bollman) 
Executive Committee members include our president, vice president, secretary, and treasurer.  We have been very busy since we last met two months ago.  Lora looked up all the assessed values for downstream properties for 2023.  Gary has been working with Inslee Best to bring us some exciting collection news.  Darcy found us a new accountant and got us switched over to on-line QuickBooks.  Mark will keep working on getting the rest of the upstream property values from the county web site.  
   
 Treasurer’s Report (Darcy Niedermeyer)   
  1. We have a new bookkeeper.  Stivers Accounting & bookkeeping. 
  2. My / our goal is to simplify and automate the treasurer job.
  3. We transitioned from the desktop version of QuickBooks to the online version of QuickBooks.  For the desktop version we had to start a program called Swizznet (and pay for the service) and then log onto QB paid separately.  Now we open QB directly in a tab on our browser. 
    1. This resulted in a few changes in how you will see reports and how we operate.
    2. We slimmed down the account, so you will not see so many categories.
  4. We simplified the bank accounts by breaking up the checking account and now the upstream and downstream have their own checking accounts.  And the main spenders have their own debit cards.  We are trying to keep it all separate.  Mark can deposit with his card to either account. 
  5. Coming:
    1.  In the invoices there will be a link to pay by Credit Card.  You are in control and will enter your CC info on your computer.  Your CC number does not have to be sent through the mail or seen by anyone else.  It is the same with Zelle.  To get the link to pay by CC, it can be emailed to you.  Please contact us at  mircc@mountindexriversites.com with your email so we can enter it in QB.
    2. Other jobs done previously by the bookkeeper will now automatically happen with QB online.   All expenses paid by check or debit will auto download from the bank to QB.  And if it is a common purchase (auto parts or gas downstream) it will automatically log in QB as that expense.  This involves less work for humans. 
    3. The bookkeeper will reconcile the accounts and apply payments to our owners.
    4. The treasurer will confirm receipts to expenses and attach a receipt to a transaction.  Also will double check activity.  Answer bookkeeper questions. Then create reports.
    5. This is a work in progress.  And exciting.  It may take as long as a year to incorporate all the planned changes.

Downstream checking:   $ 101,575.76
Upstream Checking:       $  88,023.73

Collections Update / Legal (Gary Johnson)
Scott Shannon paid MIR in full, about $15,380.  Just over $7,000 was for MIRCC assessments.  More than $8,000 went to lawyer bills and court costs. MIRCC initially has to pay legal costs, but we get it back when the property owner either pays or is compelled to pay from a legal judgement.
 
The estate of Yvonne Burgess settled in full for a total of a little over $2,000.
 
Another property owner had been making payments.  She had signed a Promissory Note and is now paid up.
 
We are in a legal dispute with another property owner.  That owner is trying to sell their property but can’t because of the lien MIRCC has on the property. 
 
We were successful in foreclosing on the Martel property in the downstream section.  The property was sold at a sheriff’s sale late in 2021.   It has been a very slow process to get the title signed over to MIRCC.   The real estate market has changed dramatically but there doesn’t seem to be anything we can do at this point. 
 
Some of the property owners who owe us the most money have passed away and their estates are in various states of being settled.   In some cases, we have to sue the estate to get our money.  
 
Successful collection efforts affect the budget and lowers road assessments for everyone in the subsequent years. 
  
Roads Upstream (Dave MacFarlane)
David MacFarlane is not with us today but Mark Bollman reported that Paul Hery spent about 65 hours plowing snow in December.  The road is mostly bare and clear now so he has been busy with the tractor filling potholes as the snow and ice melted.
  
Red Gate  (Mark Bollman)
The upstream gate formerly known as Green Gate has been painted Red and we installed new beeper and flashing lights; everything is working fine.  There are no problems to report.
 
 Roads Downstream (Mat Williams)
The snowblower was awesome in keeping the roads clear and wide.  There was a lot of activity with different machines.  We haven’t really had to put it to the test with deep snow.   The roads are in good shape.  Some filling needs to be done on the main road.   Guy has been out filling potholes before they get too big.  Guy did a fantastic job working on the road during the snowstorms.  
 
Other Reports & Information (one minute, please)
Earl reported on the PUD easement.  The PUD Commissioners signed off on the easement for us from Highway 2 to the main gate.  Mark will go to the PUD in Everett this upcoming week to sign the paperwork.   Gary added that this was the final missing piece so we now have an easement in perpetuity all the way from Highway 2 to the new bridge. 
 
Paul will work on the boards that are coming apart on the approach to the bridge over the railroad tracks.
 
Julia relayed Anita Shultz’ concerns about water running under the road across from her property.  Darcy stated that piece of land is owned by the State, the Department of Fish and Wildlife.   We have an easement to go over it, but MIRCC doesn’t actually own it.  It was recommended that Anita follow up with the State about her concerns.
 
Priority Business
Mark Bollman: “Motion to approve the November meeting minutes and post on the web site.”
The motion was approved unanimously.

New Business
Since we were unable to meet last month board members e-voted to approve two administrative matters: 
(1) we hired Stivers Accounting & Bookkeeping; and
(2) we moved our files from SwizzNet to on-line QuickBooks. 
 
Hearing no objections, these decisions are hereby approved for the record by unanimous consent.
