Call To Order:   Mark Bollman called the meeting to order at 9:00 AM.
 
Opening Remarks and Announcements (Mark Bollman) 
Board members and guests were emailed today’s Agenda and Treasurer’s Report.   There are 7 board members present but the president doesn’t vote so we’ll be looking for 6 votes today.  
 
 Executive Committee Report (Mark Bollman) 
Executive Committee members include our president, vice president, secretary, and treasurer.  Reminder letters were mailed to 40 past-due property owners with October 31 deadline and several checks that arrived yesterday have not been deposited yet.  We also filed our annual report with Secretary of State to renew our corporation for another year.
 
 Treasurer’s Report (Darcy Niedermeyer)   
Darcy was not available today but she sent us all a detailed report and encouraged everyone to email questions.  Mark repeated highlights as of September 30, 2022:
Bank Account Balances:  Downstream = $138,250  Upstream = $77,950
September Income:  Downstream = $5,763     Upstream = $2,007
Annual Budget Collected:  Downstream = 97%   Upstream = 91%

Collections Update / Legal (Gary Johnson)
Gary Johnson reported that he had a productive meeting with our attorneys (Inslee Best) and that they are moving forward on numerous matters.  He also noted that IB has hired a new associate who will focus on our work, a development that should help move things forward more quickly at a lower cost.
  
Roads Upstream (Dave MacFarlane)
No problems to report.
  
Green Gate (Mark Bollman)
No news about the green gate
 
Roads Downstream (Mat Williams)
No problems to report.

Priority Business
Mark Bollman reported that Lora Cox emailed us that last month’s meeting notes were posted on our web site.  ”Motion to approve the September meeting minutes as drafted” approved by unanimous consent
  
New Business
Gary Johnson reported that PUD will grant an easement from Hwy 2 to green gate at no cost to MIRCC as described in the draft emailed to all board members.  “Motion to approve the easement document and authorize Mark Bollman to sign it on behalf of MIRCC” approved by Unanimous Consent, 6 Yes, 0 No.  Thanks to Earl Van Buskirk for coordinating this effort for us.
 
Discussion Topics
Lockbox Kiosk -- Travis was not available to report on lockbox proposal but Mat said it would be a good idea to offer property owners an opportunity to provide their guests with a gate clicker rather than relying on manual keypad codes.
  
Underground Utilities:  Gary Johnson mentioned that sometimes property owners request permission to run pipes or wires under MIRCC roads to connect utilities between their separate lots.  This is usually not a problem if it’s done properly by our road contractor or other reputable licensed contractor to ensure utilities are deep enough and the work does not interfere with other road users.  Taylor suggested a trace wire and recordkeeping could be helpful.  Mark agreed that unusual requests might need to be approved by Board of Directors.
 
Yellow Gate at Sunset Falls -- CJ Holmes asked about the possibility of unlocking the second yellow gate and installing a permanent road block a little further down towards Sunset Falls.  Gary and Kathleen reviewed the discussions we had last month and the decision we made to give Scott Dale a key and suggested that a change would not be advisable at this time.
 
Bars & Rocks at Canyon Falls -- Anita Shultz emailed us pictures but she was not available for discussion today so would like to tell us more next month.
