Board of Directors Meeting

Call To Order:  Mark Bollman called the meeting to order at 9:05 AM. 

Announcements:  
We only have 40 minutes today so we will try to take care of some unanimous consent agenda items as they come up under Reports if they can be handled in less than one minute without further discussion.  Other motions will have to be taken up later on the agenda.

Reports and Unanimous Consent Items

Executive Committee (Mark Bollman)
Executive Committee members include the corporation’s president, vice president, treasurer and secretary.  Earl joined us in two zoom meetings to discuss easement negotiations with Canyon Falls Homeowners Association (CFHOA).  Gary continues to work with Inslee Best on our collection efforts, and Carrie worked with SLK Accounting to fine-tune our financial report.  We also mailed statements for all past-due accounts and included 90-day reminder and final notice of intent to file lien if not paid by October 31st. 


September Meeting Minutes (Lora Cox)

Budget Status Report and September Expenditures (Carrie Byrne)
This month’s Finance Report goes through the end of September, which marks the 90 day mark for past due invoices. Statements this month were mailed to past due owners with a reminder on ways to pay. 



We spent some time tidying up the report so it’s easier to see YTD collection rates, find where assets are listed, and review paid amounts from owners with judgments handled through the attorney. 

Here are highlights for the month:

September Income
  • $6145 - Upstream 
    • 80.4% - YTD Collection rate for Upstream
    • $3150 paid since the start of October (not reflected in this report)
  • $7311 - Downstream 
    • 78.2% - YTD Collection rate for Downstream
    • $100 paid since the start of October (not reflected in this report)

September Expenses
  • We caught up on past due invoices with Inslee Best for Collections. Invoices included charges for attorney fees, lien recordings, litigation guarantees, process service, and court appearances (remote in the era of COVID-19).
    • Upstream paid $10,926 for 7 Collections cases 
    • Downstream paid $3,758 for 7 Collections cases
  • Road maintenance invoices were paid for several months of roadwork and repairs to the green gate
    • Upstream - $7,089
    • Downstream - $0 (for September)

Michelle mentioned that the definitions under Key Concepts on page 1 of the report are very helpful but thinks that upstream is east of the slide, and the downstream is west of the slide.  Carrie agreed and will change the definition to reflect correct directions.

Collections Update (Gary Johnson)
Gary said we are working closely with our attorneys on several active cases.  Carrie has reviewed the past couple of years of invoices from Inslee Best and has produced a list of questions.  We are meeting with IB next week to discuss.

Access Road / PUD and CFHOA (Earl Van Buskirk)
Earl has had several talks with CFHOA.  We are moving forward and will continue to discuss options with upstream BOD members in the days ahead then set up another meeting with CFHOA soon.  

Roads Reports  
Roads Upstream (Dave MacFarlane)
Dave has been out of town for several weeks, so Mark reported for him that Paul has been bush-cutting and has graded the road.  There are no other problems with the Upstream road/s. 



Roads Downstream (Mat Williams) Mat reported that the Downstream road is in excellent shape.  They were able to work on the road just before the last major rainstorm, so that timing was good.

New Business

Mark Bollman: “Motion to sell Parcel No. 00526100518900 to Kristian Johnson for $1,500 with understanding that he will pay excise tax and filing fee so MIRCC nets $1,500 at closing.”

Discussion Topics
Included with the recently mailed statements for past-due accounts was a final notice of intent to lien property, if dues are not paid by October 31st
.

The next meeting will be November 14th at 9:00 a.m.
